End User License Agreement

Effective Date: October 30, 2025

IMPORTANT – READ CAREFULLY

This End-User License (“License”, or “EULA”) is a binding agreement and legal contract between the Licensee (“Licensee”, “You”, “Your”, “I”, or “User”) and CrossVue, LLC (“Licensor”, “We”, “Us”, “Its”) for the use of the CrossVue application or CrossVue Focus™ software (“Application”) provided by CrossVue, LLC. By clicking “Accept” or by accessing or using the Application, you agree to be bound by this License.

If You do not agree to the terms, do not click “Accept” and do not access or use the Application.

License Grant

Subject to the terms of this License, CrossVue, LLC (“Licensor”) grants You a non-exclusive, non-transferable, limited, revocable license to access and use the Application solely for your internal business purposes according to the CrossVue Terms of Use (https://www.crossvue.com/terms-of-use/) that set forth the general terms and conditions for the use by you as an end-user of Licensor’s proprietary Application which software and Terms of Use may be periodically updated by Licensor at its sole discretion, the CrossVue, LLC privacy policy periodically updated by CrossVue, LLC at its sole discretion (https://www.crossvue.com/privacy-policy/) and to use the Application only in connection with Your separately authorized use and access to the Workday® Platform or Workday® Software. This License is subject to compliance with a fully paid-up and validly in force, Workday® Platform and/or Workday® Software Universal Main Subscription Agreement, and further Your use of the Application on the Workday® Platform must further require of end-users of the Application to comply with Workday’s the requirements for end-users according to all the terms, conditions and policies for end-users for a Workday Developer and a Workday Partner, and as an Independent Software Vendor (ISV) Partner must require of Its end-users according to all policies, terms , conditions, applicable to end-users according to any of Workday’s current Workday Developer Program -Terms and Conditions, Workday Developer Program Developer Program Guidelines, Workday Developer Program Availability Statuses, Workday Developer Program Additional Partner Terms, Workday Developer Program APIs and Features Support Policy, and Workday Partner Code of conduct (https://www.workday.com/content/dam/web/en-us/documents/investor/partner-code-of-conduct.pdf) and this License is subject to any Workday end-user terms and conditions specifically required of You by a validly agreed upon statement of work, work order, or project agreement You may have with Workday.

You may not:

  1. Modify, reverse engineer, decompile, or disassemble the Application, except where such activity is expressly permitted by applicable law;
  2. Rent, lease, sublicense, sell, assign, or otherwise transfer rights to the Application;
  3. Interfere with or disrupt the integrity or performance of the Application or the Workday Platform;
  4. Use the Application in violation of any CrossVue Terms of Use (https://www.crossvue.com/terms-of-use/);
  5. Use the Application in violation of any CrossVue, LLC privacy policy periodically updated by CrossVue, LLC at its sole discretion (https://www.crossvue.com/privacy-policy/); and
  6. Use the Application in violation of any applicable local, state, federal, or international law, regulation, or third-party rights.

Open Source and Third-Party Software Licenses

The Application may include accessible program module components licensed under one or more of the following open source license agreement(s) and/or third-party software and the access and use of such components are subject to the terms and conditions of the applicable open source license agreements and third-party license agreements for the respective components that may include Accessible Core Modules, Additional Access Libraries, Fonts, and Iconography all of which may subject to Copyright, attribution requirements, DISCLAIMER OF WARRANTIES, RESTRICTIONS ON USE, AND IDEMNITY PROVISIONS all subject to periodic updating at the sole discretion of CrossVue or the licensor of the applicable program module, reviewable here: https://www.crossvue.com/licenses/

Workday Integration and Compliance

The Software is designed to integrate with the Workday platform. You agree to comply with:

  1. Workday’s ISV Partner Program requirements, including any applicable security, data handling, and integration standards.
  2. All applicable Workday API usage guidelines and restrictions.
  3. Any additional terms imposed by Workday related to your use of its platform.

This Agreement does not grant you any rights with respect to Workday’s software or services outside the scope of your existing Workday agreement.

Export Control Compliance

You agree not to use, export, re-export, or transfer, directly or indirectly, the Software or any underlying technology except as authorized by United States law. In particular, but without limitation, the Software may not be exported or re-exported:

  1. Into (or to a national or resident of) any country subject to U.S. embargoes or sanctions;
  2. To anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons or Entity Lists.

By using the Software, you represent and warrant that you are not located in any such country or on any such list and that you will not use the Software for any purpose prohibited by U.S. law.

Intellectual Property

All intellectual property rights in and to the Software, including any updates or enhancements, are owned by CrossVue, LLC or its licensors. Except as expressly provided herein, no rights are granted to you under any intellectual property of CrossVue, LLC, Workday Inc., or contributors to any open-source software components. No Intellectual property rights are granted to any of the open-source software component other than as may be specifically granted under the open-source license applicable to the open-source software component as identified in Section 3 hereof.

Data Privacy

Your use of the CrossVue Application is subject to the Our privacy policy (https://www.crossvue.com/privacy-policy/), which describes how we collect, use, and protect data. You are solely responsible for compliance with any data protection obligations relating to your use of the Application, including but not limited to your use of Workday APIs and transmission of personal data.

Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. CROSSVUE, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. CROSSVUE, LLC DOES NOT WARRANT THAT THE APPLICATION WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL CROSSVUE OR ITS AFFILIATES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THIS LICENSE AGREEMENT OR YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THIS LICENSE AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE APPLICATION IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

Termination

This License agreement is effective until terminated. You may terminate it by discontinuing all use of the Software and including, without limitation, the CrossVue, Focus™ Application and any and all software, documentation, support materials, and support services, if any, provided by CrossVue, LLC in connection with the Application. CrossVue, LLC may terminate the licenses granted under this License agreement at any time with or without notice if you violate any terms of this License agreement or if You violate any terms of any of your agreements with Workday, inc. for the use of the Workday platform, or with respect to any of the open source software components, if You violate the terms of any the applicable agreements for the open source software components as identified in Section 3 hereof. Upon termination, Your rights to access and use the Application will cease immediately, except that Your ongoing obligations and the rights of CrossVue, LLC regarding ownership and protection of copyrights, trademarks, other intellectual property, disclaimers of warranties, limitations of liability, and enforcement of the terms of Your use termination of use of the Application shall continue for as long as those rights legally continue under applicable statutes of limitation.

U.S. Government Users

The Application and related documentation that are “commercial items” as that term is defined at 48 C.F.R. §2.101 and consists of “commercial computer software” and “commercial computer software documentation” as used in 48 C.F.R. §12.212. Consistent with 48 C.F.R. §12.212 and 48 C.F.R. §227.7202-1 through 227.7202-4, all U.S. Government end users acquire the software (Application) with only those rights set forth in this License agreement as limited by applicable statutes and regulation for Government end users.

Governing Law

This CrossVue License agreement and any action related hereto will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions. Each party hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this CrossVue License agreement. To the extent possible the matter will be determined by a dispute resolution process of negotiated agreement mediation between the parties or by binding Arbitration proceedings under Federal and Delaware Laws enforceable by courts in Delaware all according the CrossVue Terms and Condition of Use (https://www.crossvue.com/terms-of-use/). Any otherwise unresolved claims, legal action, or proceedings arising under this License Agreement shall be brought exclusively in the courts having the appropriate subject matter jurisdiction in Wilmington, Delaware, USA and the parties hereby irrevocably consent to the personal jurisdiction and venue of such courts.

All trademarks are the exclusive intellectual property of the respective owners.

CrossVue, LLC is authorized to develop software to run on the Workday® platform, but You must obtain, maintain, and depend upon Your separate agreement with Workday in connection with the use of the Software on the Workday® platform. We do not have any authority to grant a license to You for using the Workday® platform and do not have authority to bind Workday, Inc. to any obligations or liability for any claims or liability under this Agreement or any claims or liability arising from Your use of the Workday® platform, any Workday® software or services used in connection with the Application.

Entire License Agreement

This Agreement, together with our Privacy Policy and any referenced open-source licenses, constitutes the entire License agreement between you and CrossVue, LLC regarding the Application and supersedes all oral agreements, understandings, or representations relating to the CrossVue Focus™ Application and any CrossVue™ software or services.

BY CLICKING “ACCEPT” OR ACCESSING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.

BY CLICKING ON THIS LICENSE AGREEMENT, OR BY UPLOADING, ACCESSING OR USING THE APPLICATION, I HEREBY AGREE THAT I HAVE READ AND I AGREE TO THE LICENSE AGREEMENT AND THE TERMS AND CONDITIONS OF ALL INCORORATED SOFTWARE AGREEMENTS AND OPEN-SOURCE SOFTWARE COMPONENTS VARIOUSLY SET OUT IN THIS LICENSE AGREEMENT.


Notification of Changes or Updates

When this Agreement is modified or updated, we will update the Effective Date, provide notice via electronic means through our Sites or other electronic communications, and republish it to this Site.
